Terms of Service

These Terms of Service are an agreement between you and Studio Ageless, LLC, the company behind First Brain IQ. In these terms, "we," "us," and "our" mean Studio Ageless, LLC. "You" means the person or business using the service.

By creating an account or using First Brain IQ, you agree to these terms. If you do not agree, please do not use the service.

1. Who can use First Brain IQ

You must be at least 18 years old to use the service. By using it, you confirm that you are 18 or older and able to enter this agreement.

2. Your account

You are responsible for your account and for keeping your password safe. You agree to give accurate information and to let us know if you suspect someone is using your account without permission.

3. Subscriptions and billing

First Brain IQ is a paid subscription. We offer different plans, and the price and features of each plan are shown when you sign up. Our payment provider Stripe handles your payment securely.

Plans are billed in advance on an annual basis. Your subscription renews automatically each year unless you cancel before the renewal date. Prices may change, and we will give you notice before a change affects you. You are responsible for any taxes that apply.

4. Cancellation, deletion, and refunds

You can cancel anytime. When you cancel, your subscription stays active until the end of your current paid term, and it does not renew after that. When you cancel, you can also permanently delete all of your data using the deletion option in your Account Preferences, or by contacting us. Payments are generally non-refundable, except where the law requires a refund or where we agree to one in writing.

5. Your content and who owns it

You own the content you put into your Brain, and you own the outputs, custom prompts, synthesized insights, and any intellectual property created from your materials. We keep no ownership of these and claim no future usage rights in them beyond running the service for you. You can export your Brain at any time and keep your own copy.

You grant us a limited, non-exclusive, revocable license to store, process, and display your content only to provide the service to you. This license ends when you delete the content or your account, apart from the short backup period described in our Privacy Policy. We do not use your content to train AI models. This applies to your content and your derived work, not to our underlying platform or methodology, which remain ours.

6. Change of control and business transfers

If First Brain IQ or Studio Ageless, LLC is ever involved in a merger, acquisition, sale of assets, recapitalization, financing, reorganization, or any other transfer of the business or the service (a "change of control"), these protections continue to apply:

• Your ownership does not change. A change of control does not transfer ownership of your content to anyone. You continue to own your Brain, your inputs, your outputs, your custom prompts, and the intellectual property created from your materials, exactly as described in Section 5.
• Any successor is bound by these terms. These terms, including all ownership, confidentiality, privacy, and data-handling commitments, are binding on our successors and assigns. Any party that acquires or operates the service must honor the same obligations we owe you here, and cannot weaken these protections without your consent.
• Your data transfers only to keep serving you. In a change of control, your content may transfer to the successor solely so the service can continue under these same terms. Your content is never sold as a standalone asset and is never repurposed for any use outside providing the service to you.
• Confidentiality continues. Your confidential information stays protected under these terms and our Privacy Policy through and after any change of control.
• You keep your export rights. You can export your complete Brain at any time, including before, during, and after any change of control.
• You decide whether to stay or go. We will give you advance notice of a change of control that materially affects how your data is handled. If you do not wish to continue under new ownership, you can export your content and cancel, then permanently delete all of your data from your Account Preferences. The choice to stay or leave is always yours.

7. Acceptable use

You agree not to:

• Break the law or harm others while using the service.
• Upload content that you do not have the right to use.
• Try to break, copy, or reverse engineer the service.
• Resell or share your account access with others.

You confirm that you have the rights to the content you upload, and that we may process it as described in these terms and our Privacy Policy. If your content includes information belonging to your own clients or other people, you confirm you have the authority to share it with us for processing.

8. Our intellectual property

First Brain IQ, including its software, design, and brand, belongs to us. These terms do not give you any ownership of the platform itself. Your ownership covers your own content, not the service.

9. AI-generated content

First Brain IQ uses AI to help generate content. AI output can be wrong or incomplete, and it is not professional, legal, financial, or medical advice. You are responsible for reviewing what you create and for anything you choose to publish or act on.

10. Third-party services

We rely on trusted providers like Supabase, Vercel, Anthropic, Stripe, and GoHighLevel to run the service. Claude, from Anthropic, is the only AI model that processes your content, and your content is not used to train any AI model. Their own terms and policies may also apply to how they handle data on our behalf.

11. The service is provided "as is"

We work hard to keep First Brain IQ reliable, but we provide it "as is" without guarantees. We do not promise the service will always be available, error free, or fit for every purpose.

12. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, or consequential damages. Our total liability to you is limited to the amount you paid us in the 12 months before the claim.

13. Indemnification

You agree to cover us for claims, losses, or costs that come from your misuse of the service or your breach of these terms.

14. Ending your access

You can stop using the service anytime by canceling your subscription. We may suspend or end your access if you break these terms. If we do, you can still request an export of your data before it is removed.

15. Changes to these terms

We may update these terms as the service grows. When we make a meaningful change, we will update the date at the top and let you know if the change is significant. Using the service after a change means you accept the new terms.

16. Successors and assigns

These terms bind and benefit you, us, and our respective successors and permitted assigns. We may assign these terms in connection with a change of control as described in Section 6, and any assignee takes on all of our obligations to you under these terms.

17. Governing law

These terms are governed by the laws of the State of California, in the United States, without regard to its conflict of laws rules.
